1. About these terms
These terms are an agreement between Menuro Restaurant Technologies Ltd. ("Menuro", "we", "us") and the merchant that installs the Menuro app on a Clover device ("you"). They cover the Menuro app for Clover (the "App"). You accept them by installing or using the App. Our Terms of Service and Privacy Policy also apply to your Menuro account. If they conflict with these terms about the App, these terms apply.
2. The App
The App connects your Clover device to your Menuro account. It:
- links Clover menu items to your Menuro online menu and keeps prices and availability in sync;
- creates Clover orders and kitchen tickets for Menuro online orders that you accept, and records them as paid with a Menuro custom tender;
- lets guests check loyalty points and lets staff redeem rewards as discounts on Clover orders; and
- copies paid Clover counter sales into your Menuro reports, if you turn sales sync on.
You need an active Menuro account. Customer-facing loyalty needs a Clover Station Duo.
3. Payments
The App does not process card payments. Online orders are paid on Menuro ordering pages and apps, and the App only records that payment in Clover so the guest is not charged twice. Card payments taken on your Clover device are handled by Clover. The App never accesses or stores card details.
4. Fees
The App is free to install. Clover does not bill you for it. It is included in your Menuro subscription, which is billed by Menuro under your Menuro agreement.
5. Licence
We give you a limited, non-exclusive, non-transferable licence to use the App on your Clover devices for your own business while you have a Menuro account. You may not copy, resell, modify, reverse engineer or try to get around the App's security. We may update the App automatically.
6. Your Clover data
With your permission, the App reads and writes the following Clover data:
- Merchant: your merchant ID and device details, to connect the right location. The App also creates the Menuro custom tender.
- Employees: the signed-in employee, to record who accepted an order or redeemed a reward.
- Inventory: items, prices, modifiers, categories and availability. The App does not change your Clover inventory.
- Orders and payments: it creates, reads and cancels orders it made, adds reward discounts, records custom-tender payments, and reads counter orders and payment details (tender, amount, tip and refunds) for loyalty and reports.
- Customers: phone numbers that guests enter for loyalty, through Clover's loyalty service. The App does not read your Clover customer list or create, edit or delete Clover customer records.
You own this data. We process it as your service provider, only to run the App and the Menuro services you use. We do not sell it or use it for our own marketing. We follow our Privacy Policy and applicable privacy laws.
7. Privacy requests
If one of your guests or staff asks us to access, correct or delete their information, we will pass the request to you and help you respond. We will tell you promptly about any privacy complaint about your data.
8. Uninstalling
You can uninstall the App at any time. When you do, it stops accessing your Clover account. Data already synced into Menuro, such as orders, sales reports and loyalty history, stays in your Menuro account until you close it or ask us to delete it. To have it deleted, email info@menuro.io.
9. Suspension
We may suspend or disable the App if you break these terms, use it unlawfully, your Menuro account ends, or your use puts the App or other merchants at risk.
10. Support
Email info@menuro.io or visit our support page. Clover does not provide support for the App.
11. Clover
Clover is not a party to these terms and is not responsible for the App. Clover is a trademark of its owner.
12. Disclaimers and liability
The App is provided "as is". We work to keep it reliable but do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, we are not liable for indirect or consequential losses, such as lost profits, and our total liability is limited to the fees you paid Menuro in the twelve months before the claim. You will cover our costs from third-party claims caused by your misuse of the App.
13. Changes
We may update these terms. We will tell you about material changes through the App, your Menuro dashboard or by email. If you do not agree, uninstall the App.
14. Governing law
These terms are governed by the laws of British Columbia, Canada.
